ARTICLE I

NAME

   

                     1.01

The name of this local shall be the Local #74, IUPA, affiliated with the International Union of Police Association, AFL-CIO, which shall constitute a Local of Law Enforcement Officers and/or Allied Service Employees.

ARTICLE II

OBJECTIVES

   

2.01

The objectives of this organization shall be to advance the professional, educational, economic and social welfare of its members; to improve the fraternity of its members; and to achieve these and all other purposes and objectives through collective bargaining, legislation, litigation and other appropriate and lawful means beneficial to the collective membership.

ARTICLE III

MEMBERSHIP

 

 

 3.01

Candidates for membership shall be admitted to membership subject to and in accordance with the applicable provisions of the International Constitution and in accordance with any membership requirements of this Local.

   
3.02 The members of this Local shall be afforded all rights and privileges of members and shall be subject to such duties and responsibilities, including the payment of dues and other financial obligations, as provided in the International Constitution, and any additional obligations as may be established by this Local.

ARTICLE IV DUES AND ASSESSMENTS
   
4.01 Payment of dues in this association shall be made through the payroll dues deduction system.
   
4.02 Dues collected through the payroll deduction shall be paid through the Protective Services Employees Coalition and in accordance with its standards. The Protective Services Employees Coalition shall make payments from these funds on behalf of this association to the International Union of Police Associations, AFL-CIO and other payments as may be required.
   
4.03 The Executive Board of this Association shall be vested with the authority and discretion to waive, upon written request of any member, the payment of dues due to either ordinary disability, duty disability or leaves of absence.
   
4.04 In the event that the Executive Board of this Association waives the payment of dues for any member under Article IV, Section 4.03, the Executive Board of this Association may, in its discretion, assess back dues from any member upon return from said ordinary disability, duty disability or leaves of absence.
   

4.05

Should it become necessary to dissolve the Association, the Board shall convert to cash all possessions of the Association and shall distribute all the assets of said Association, in equal shares, to those members in good standing at the date of such dissolution. The distribution of such assets shall not occur until all debts of the Association have been satisfied. The method of conversion to cash of the possessions of the Association shall be determined by the Board.

ARTICLE V STRUCTURE OF THE LOCAL
   
5.01 The Officers of this Local shall be the President, First Vice President, Second Vice President, Secretary and Treasurer.
   
5.02 There shall be an Executive Board consisting of President, First Vice President, Second Vice President, Secretary and Treasurer.

ARTICLE VI DUTIES AND POWERS OF OFFICERS
   

6.01

The President of this Local shall be the Chief Executive Officer of the Union and shall preside at all meetings of the Union and Executive Board. He may create and appoint all committees, committee members, and committee chairpersons. He shall be an ex-officio member of all committees. He shall communicate to the Union such matters and make suggestions as may in his opinion promote the purposes of the Union or improve the welfare of the Union. He shall perform such duties which are necessarily incident to the office. He shall countersign all checks drawn on the funds of the Union. He shall enforce all laws of the Union as provided in this Constitution. He may call Special Meetings of the Union or Executive Board at his discretion by giving 5 days written notice. He shall be a Vice President of the Protective Services Employees Coalition. He shall serve on the Executive Board of the Protective Services Employees Coalition and have full voting power. If the Office of Secretary and/or Treasurer becomes vacant, the President shall appoint a replacement for the remainder of that term.
   
6.02 The First Vice President shall assist the President in the discharge of his duties. In the President's absence, the First Vice President shall act in his stead. He shall perform other appropriate duties as assigned by the President or by the Executive Board. If the President leaves or becomes unable to serve, the First Vice President shall assume the office of President until the next regular election is held.
   
6.03 The Second Vice President shall, in the absence of the First Vice President, act in his stead. The Second Vice President, in the absence of both the President and the First Vice President, shall act in the stead of the President. He shall perform other appropriate duties as assigned by the President or the Executive Board. If the First Vice President ceases or fails to serve, the Second Vice President shall assume the office of First Vice President.
   
6.04 The Secretary shall keep a record of the proceedings of this Local, the attendance at meetings, and all matters of which a record may be deemed advisable. He shall keep and file all documents, records and communications connected with the business of this Local. If the Second Vice President ceases or fails to serve, the Secretary shall assume the office of Second Vice President.
   
6.05 The Treasurer shall keep a record of all financial transactions and be responsible to the President for all monetary matters pertaining to the Local. He shall countersign all checks drawn against the funds of the Local. He shall perform other appropriate duties as assigned by the President. At the expiration of his term of office, he shall turn over all monies, records and documents pertaining to his office to his successor.
   
6.06 The Executive Board shall exercise general supervision and control over the business, funds, and property of the Local. It shall have the authority to act in the name of the Local during intervals between meetings, and its decisions shall represent the final judgments of the Union unless appealed to and reversed by a vote of the membership. It shall meet on a regular basis at the call of the President or on call signed by a majority of its members. A majority of the Executive Board shall constitute a quorum.
   
6.07 The Board is empowered to defray such legal or other expenses as may be incurred in support of favorable legislation effecting the interests of members of the Association.

 

 

6.08 The Board shall have the power to expel any member of the Association and also to remove any of their own number from office who may be guilty of a violation of the Constitution, breach of trust, conduct detrimental to the welfare of the Association or other official misconduct. Such action shall be in accordance with Article IX.
   
6.09 The Board shall have the authority to make such rules as it may deem necessary to conduct the affairs of the Association, provided such rules are not inconsistent with the provisions of the Constitution and By-Laws.
   
6.10 Officers and employees of the Local shall be bonded, at the expense of Local, as required by law.

ARTICLE VII TERMS OF OFFICE
   

7.01

The President, First Vice President, Second Vice President, Secretary and Treasurer shall hold office for two year terms.

ARTICLE VIII IMPEACHMENT OF OFFICERS
   

8.01

Any Officer of the Local may be impeached for misconduct as follows:
   
  (a) Refusal or failure without justifiable cause to comply with or abide by the provisions of the International Constitution or this Constitution; refusal or failure without justifiable cause to comply with or abide by a valid decision of this Local.
   
  (b) Committing any act of fraud, embezzlement, larceny, or misappropriation of any funds or property or other things of value of the Local, or refusing, failing, or neglecting to comply with the provisions of the Local Constitution or with a Local Executive Board order requiring a full and accurate accounting of all funds, property, books and records for examination and audit.
   
  (c) Advocating or encouraging any rival organization or acquiring membership in any such organization.
   
  (d) Acquiring membership in the Local or International Union by fraud, false representation or deceit.
   
8.02 Any three members may prefer charges of misconduct as defined in Section 1 against any officer of the Local.
   
8.03 All charges shall be submitted in the following manner. The charges shall be in writing; they shall be signed by the members preferring the charges; the charges shall contain a statement of the facts out of which the charges arise and shall set forth the specific act alleged to constitute the misconduct, including the dates, places, and persons involved. They should state the nature of the violation alleged and shall refer to the specific Article and Section of this Constitution which has been violated.
   
8.04 The notice of charges shall be served upon the officer at least fifteen (15) calendar days in advance of the date of the hearing to be held before the Executive Board. The Executive Board shall give the officer and opportunity to defend himself against the charges and shall in all instances afford the officer a full and fair hearing. A vote of two-thirds (2/3) of the members of the Executive Board shall impeach the officer.
   
8.05 In the event an officer is impeached by the Executive Board, the impeachment shall be presented to the membership in a mail referendum vote. If two-thirds (2/3) of the valid ballots cast are in favor of a guilty finding on the impeachment, the officer shall be removed from office forthwith. Until the vote of the membership is completed, the officer shall continue to hold office.
   
8.06 Any officer who is absent from two consecutive meetings shall be automatically removed from office. This provision shall not be enforced if the absence was excused by the President in advance.

ARTICLE IX SANCTION OF MEMBERS
   

9.01

Any member of the Local may be sanctioned by suspension of membership or expulsion for misconduct as follows:
   
  (a) Refusal or failure without justifiable cause to comply with or abide by the provisions of this Constitution; refusal or failure without justifiable cause to comply with or abide by a valid decision of this Local.
   
  (b) Committing any act of fraud, embezzlement, larceny or misappropriation of any finds or property or other things of value of the Local, or refusing, failing or neglecting to comply with the provisions of the Local Constitution or Executive Board order requiring a full and accurate accounting of all funds, property, books and records for examination and audit.
   
  (c) Advocating or encouraging any rival organization or acquiring membership in such organization.
   
  (d) Acquiring membership in the Local or International Union by fraud, false representation or deceit.
   
  (e) Engaging in conduct detrimental to the best interests of the Local in disrepute with other labor organizations, the employer, or the public.
   
  (f) conduct unbecoming a member of the Local; provided however, that use of this provision shall be valid only when charges are set forth in specified terms, specifying the act of conduct alleges to be unbecoming a member.
   

9.02

Any member may prefer charges of misconduct as defined:

The Executive Board shall give the member an opportunity to defend himself against the charges and shall in all instances afford the member a full and fair hearing. A majority vote by the Executive Board shall be determined of the charges.
   
9.05 In the event a member is sanctioned by the Executive Board, the member may appeal the sanction to the membership of the Local at the next regular meeting. A majority of the membership at the meeting shall determine the sanction, if any to be imposed.

ARTICLE X MEETINGS
   
10.01 There shall be a minimum of one regular meeting of the membership each quarter. Additional meetings may be called at the discretion of the President or on call signed by a majority of the members of the Executive Board.
   
10.02 A minimum of fifteen (15) calendar days notice shall be given to the members of any regular meeting; provided however, that the President or the Executive Board, as provided in Section 1, may in emergency situations waive the fifteen (15) calendar-day notice requirements.
   
10.03 A quorum shall consist of at least thirteen (13) members.
   
10.04 The meeting for the first quarter of each year shall be held on the first Tuesday in February and shall be designated as the Annual Convention.

ARTICLE XI NOMINATIONS AND ELECTION
   
11.01 Nomination papers must be filed with the secretary of the Association no later than the first Tuesday in January of the election year.
   
  A - Nomination papers must be signed by no less than Twenty (20) members of the Association in good standing.
   
11.02 Printed official ballots showing names of candidates shall be distributed to the membership by mail. Names of candidates shall be placed on the ballot by the drawing of names by said candidates and no special designation shall be used on the ballot for any candidate.
   
11.03 Election letters containing ballots sent to the membership will also contain a self-addresses return envelope. The return address will be picked at the direction of the Chair, subject to the approval of the Executive Board.
   
  A - Each Candidate is allowed to include in the ballot mailing package, one (1) 8 1/2 x 11 page with their platform.
   
  B - Return ballots must be postmarked by no later than the last Friday in January of the election year.
   
11.04 Counting of the ballots shall be the responsibility of the Secretary at the direction of the President. (Date and Time)
   
  A - Executive Board will appoint not less than three (3) counters for ballots, of which there can be no candidates as counters.
   

11.05

Elected Officers shall take Office at the Annual Convention.

ARTICLE XII DUTIES OF MEMBERS OF ASSOCIATION
   

12.01

A - No member of the Association shall at any time employ legal counsel to start any action regarding wages, hours and working conditions without first notifying the Executive Board, by letter and receiving their approval. If this section is not strictly adhered to the Board may refuse all financial aid and be relieved of all further responsibility.
